We primarily serve venture capital (VC) firms, helping them optimize their investment strategies through effective use of tax incentives, including Qualified Small Business Stock (QSBS) / IRC Section 1202. We are looking for a Tax Attorney to join our team to help grow our business and help clients navigate the complexities of these regulations.
Role Overview:
As a Tax Attorney at CapGains, your primary responsibility will be to advise Venture Capital firm clients and corporate clients on optimizing for the benefits available under QSBS and other tax incentives. You will also be responsible for legal research / analysis involving related matters. This role is ideal for a motivated and detail-oriented tax law professional eager to contribute to a dynamic financial services company and gain hands-on experience in a fast-paced environment working with VC firms.
Key Responsibilities:
- Advise VC clients on strategies for complying with and optimizing for the benefits available under QSBS and other tax incentives.
- Perform research and draft analysis on tax incentive related matters.
- Conduct legal research and stay updated on financial regulations, securities law, and other applicable legal standards, particularly those affecting Venture Capital (VC).
- Support the team in corporate governance, regulatory compliance, and risk management for VC clients.
- Assist in the development and maintenance of compliance programs and policies tailored to VC firms.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Admitted to the Bar in your state (Arizona licensed or willing to become admitted preferred).
- 1-5 years of experience in corporate or tax law, preferably within the early stage company and/or Venture Capital sectors.
- Strong understanding of financial regulations, securities law, corporate governance, and tax incentives (i.e. Qualified Small Business Stock (QSBS) – IRC Section 1202)
- Excellent research, analytical, and problem-solving skills.
- Strong written and verbal communication skills, with keen attention to detail.
- Ability to work independently and as part of a collaborative team.
